Mediator Directory Listing Agreement

This Agreement governs the publication of a mediator's listing in the JusticeXpress Mediation directory. It is between JusticeXpress, Inc., a Delaware public benefit corporation with offices at 11582 SW Village Parkway, Suite 17, Port St. Lucie, Florida 34987 (“JusticeXpress,” “we,” “us”), and the individual mediator who applies for and is approved for a listing (“Mediator,” “you”). By submitting an application, you agree to these terms.

1. What the directory is

JusticeXpress publishes a searchable, public directory of independent mediators who offer online divorce mediation to Florida couples (the “Directory”). The Directory is an advertising medium. JusticeXpress is not a law firm, does not provide legal advice, does not provide mediation services, and does not employ, supervise, or direct any Mediator.

2. Application and approval

1. You apply by completing the mediator application form. No payment method is required to apply.
2. JusticeXpress verifies the identity, contact details, service area, and stated certification status of applicants before publishing a listing. Verification is administrative. It is not an evaluation of competence, and approval is not an endorsement, recommendation, certification, or vouching for the quality of your services.
3. JusticeXpress may decline any application in its discretion.

3. Your listing content

1. You supply and control the content of your listing, including your description of services, experience, credentials, certification status, service area, and rates.
2. You are solely responsible for the accuracy of that content and for updating it when it changes, including any change to your certification status or licensure.
3. You grant JusticeXpress a non-exclusive, royalty-free licence to display, reproduce, and format your listing content for the purpose of publishing the Directory, for the term of your listing. You retain ownership of your content. The licence ends when your listing is removed, except for cached or archived copies outside our control.
4. You must not publish content in your listing that is false or misleading, that misstates your certification status, or that violates any rule governing your practice.

4. Listing subscription fees

1. Founding members. Mediators approved for listing before February 1, 2027 receive a listing subscription at no charge for twelve months from the date the listing is published (the “Founding Term”). No payment method is required during the Founding Term and no charge accrues.
2. Subscription tiers. Following the Founding Term, and for all Mediators approved on or after February 1, 2027, the listing subscription is billed annually in advance at the tier you select:

3. Nature of the fee. The listing subscription is a fixed charge for the publication and display of your listing for the subscription term. It is earned upon publication and is payable in full without regard to the number of consumers who view your listing, contact you, or engage your services.
4. No outcome-based charges. JusticeXpress charges no fee calculated by reference to, or contingent upon, any consumer inquiry, any engagement of Mediator, any mediation conducted, any outcome reached, or any fee earned by Mediator.
5. Your fees. You set your own rates and collect all mediation fees directly from the parties. JusticeXpress receives no portion of any fee you earn and has no interest in any fee agreement between you and the parties.
6. Renewal. Subscriptions renew annually. Renewal terms, including any automatic renewal, are disclosed at the point of purchase in accordance with section 501.165, Florida Statutes. You may cancel at any time before the renewal date. Fees already paid for a published term are not refundable.

5. No referral; consumers select for themselves

1. JusticeXpress does not refer, match, assign, recommend, endorse, or direct any consumer to any Mediator. Consumers browse the Directory and select a Mediator in their sole discretion and without input from JusticeXpress.
2. Within each county, listings are displayed in alphabetical order by surname. Search results are not ordered, weighted, ranked, or otherwise influenced by any payment made by any Mediator, except that Featured listings are displayed in a designated position and are conspicuously labelled Sponsored on the listing itself.
3. JusticeXpress does not collect, screen, qualify, score, or route consumer inquiries. The contact control on a listing opens the Mediator's own website or email address as nominated by the Mediator. Consumer inquiries do not pass through JusticeXpress and are not recorded by JusticeXpress.
4. Nothing in this Agreement creates any obligation on the part of JusticeXpress to deliver, produce, or transmit any consumer, inquiry, or engagement to Mediator.

6. No guarantee of results

7. Your regulatory compliance

1. You are solely responsible for compliance with all rules governing your practice, including where applicable the Florida Rules for Certified and Court-Appointed Mediators and, if you are a member of The Florida Bar, the Rules Regulating The Florida Bar, including the rules on advertising, solicitation, and the division of fees.
2. You are responsible for determining whether your participation in the Directory is consistent with those rules, and for obtaining your own advice on that question. JusticeXpress does not advise you on your professional obligations.
3. You must notify JusticeXpress promptly if your certification or licensure is suspended, revoked, or otherwise disciplined, or if any representation in your listing ceases to be accurate.

8. Independent status

You are an independent professional. Nothing in this Agreement creates an employment, agency, partnership, joint venture, or franchise relationship. You control your own schedule, methods, terms of engagement, and fees. You are responsible for your own insurance, taxes, and business obligations.

9. No legal services

JusticeXpress does not provide legal advice or legal services, does not select mediators for consumers, and does not participate in any mediation. Any relationship formed between you and a couple who contacts you is solely between you and them, on terms you set, and JusticeXpress is not a party to it.

10. Data and privacy

1. Information you provide in your application and listing is handled as described in the Mediator Privacy Statement.
2. Because consumer inquiries go directly to you and are not routed through JusticeXpress, JusticeXpress does not receive, hold, or process the personal information of couples who contact you. You are solely responsible for that information once it reaches you, including its security and any applicable confidentiality obligations.

11. Term, suspension, and removal

1. This Agreement begins when your listing is published and continues until your listing is removed.
2. You may remove your listing at any time by written notice to support@justicexpress.com.
3. JusticeXpress may suspend or remove a listing on notice if the listing contains inaccurate content, if a Mediator's certification or licensure is suspended or revoked, if a subscription fee is unpaid, or if continued publication would in our reasonable judgment violate applicable law or professional rules.
4. Sections 4(e), 6, 7, 8, 9, 12, 13, and 14 survive termination.

12. Disclaimer and limitation of liability

1. The Directory is provided on an “as is” and “as available” basis. JusticeXpress does not warrant uninterrupted or error-free availability.
2. To the fullest extent permitted by law, JusticeXpress is not liable for indirect, incidental, consequential, special, or punitive damages, or for lost profits or lost business opportunity, arising out of or relating to this Agreement or the Directory.
3. JusticeXpress's total aggregate liability arising out of or relating to this Agreement is limited to the listing subscription fees you actually paid to JusticeXpress in the twelve months preceding the event giving rise to the claim.

13. Indemnification

You will indemnify and hold harmless JusticeXpress, its officers, directors, and agents from any claim, loss, or expense (including reasonable legal fees) arising out of your listing content, your services, your dealings with any consumer, or your breach of this Agreement or of any rule governing your practice.

14. Governing law and disputes

This Agreement is governed by the laws of the State of Florida, without regard to conflict-of-laws principles. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in St. Lucie County, Florida.

15. Changes to this Agreement

JusticeXpress may amend this Agreement. We will give at least thirty days' notice of any material change by email to the address on your listing account. If you do not accept a change, your remedy is to remove your listing before the change takes effect. Changes do not apply retroactively to a subscription term already paid for.

16. Entire agreement

This Agreement, together with the Terms of Use and the Mediator Privacy Statement, is the entire agreement between the parties regarding the Directory and supersedes any prior understanding. If any provision is held unenforceable, the remainder stays in effect. A failure to enforce any provision is not a waiver of it.
